1. Acceptance of Terms

By creating an account or using any Twily service, you agree to be bound by these Terms of Service ("Terms"). The service provider is TWILY, a SARL à associé unique registered under RC 738849 and ICE 003995470000084 ("Twily," "we," or "us"). If you do not agree to these Terms, do not use our services.

2. Description of Services

Twily provides administrative support for US LLC formation, EIN applications, entity-specific BOI status research, and related services for non-resident founders. Twily is not a law firm or accounting firm. Our services and informational tools do not constitute legal or tax advice. Consult a qualified professional for advice specific to your situation.

3. Eligibility

You must be at least 18 years of age to use Twily. By using our services, you represent that you are a legal resident of a country Twily supports (currently Morocco, France, Portugal, Algeria, and eligible additional countries) and that you have the legal capacity to enter into binding contracts.

4. Account Responsibilities

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. If you believe your account has been compromised, notify Twily through the official Contact page or by phone at +212 723 843 444.

5. Service Fees

Current plan prices are displayed at /subscription. Displayed plan prices cover the stated Twily service and billing period. Government and third-party fees are separate unless a plan explicitly states that they are included. Refund eligibility is governed exclusively by the current Refund Policy at /legal/refund.

6. AI Advisor Disclaimer

Twily's AI advisor provides general information based on publicly available US tax treaty texts, IRS publications, and state statutes. The AI's responses are informational only and do not constitute legal, tax, or financial advice. Always consult a licensed CPA or attorney for your specific situation. Twily is not liable for decisions made based on AI advisor output.

7. Intellectual Property

All content on the Twily platform — including software, design elements, and documentation — is owned by TWILY or used under the applicable license and is protected by relevant intellectual-property laws. Documents prepared specifically for a customer may be used for their intended business purpose subject to the confirmed order.

8. Limitation of Liability

To the maximum extent permitted by law, Twily's total cumulative liability arising from these Terms or from use of our services shall not exceed the greater of (a) $500 USD or (b) the total fees paid by you to Twily in the 12 months preceding the claim. In no event shall Twily be liable for indirect, incidental, consequential, or punitive damages.

9. Governing Law

The governing law and dispute process applicable to a paid service are stated in the confirmed order or service agreement. Mandatory consumer-protection rules that apply in the customer’s jurisdiction are not excluded by this clause.

Service Scope

Twily provides LLC formation filing, registered agent services, EIN applications, and digital marketing services. We act as a filing service, not as attorneys or CPAs.

Liability Limitations

Our liability is limited to the amount paid for services. We are not responsible for IRS processing delays, state filing backlogs, or third-party bank decisions.

Governing Terms

The confirmed order or service agreement identifies the governing law and dispute process for that service.
